ZenAssistant Terms of Service – Virtual Assistant Placement
Effective Date: September 15, 2025

1. Service Overview
ZenAssistant Inc. (“ZenAssistant”, “we”, “us”, or “our”) offers a one-time virtual assistant placement service (the “Service”) designed to connect clients (“Client”, “you”, or “your”) with thoroughly vetted virtual assistants based on the requirements shared during our intake process. ZenAssistant does not offer ongoing management, supervision, or payroll services. After a successful match, all communication, oversight, and work agreements are solely between the Client and the assistant.

2. Pricing and Payment
The standard placement fee is $1,000. Occasionally, ZenAssistant may run promotional discounts or offer special pricing (e.g., $750) at our sole discretion. All pricing is subject to change without notice, and any limited-time offers do not imply permanent changes to our pricing model.

The placement fee is due in full before any candidate sourcing begins. Payment is non-refundable once the intake process has started. We do not offer prorated refunds, partial refunds, or performance-based refunds under any circumstances.

3. What’s Included
By purchasing the placement service, you receive:

• A discovery intake to understand your assistant needs and preferences
• Candidate sourcing and vetting by ZenAssistant
• Introductions to qualified candidates for direct engagement
• Optional coordination of interviews between Client and candidates
• A one-time courtesy rematch within 30 calendar days of the original placement if the matched assistant is determined to be unsuitable based on documented and reasonable feedback

ZenAssistant’s responsibilities end after the placement and rematch period (if applicable).

4. What’s Not Included
This is a placement-only service. ZenAssistant does not provide:

• Ongoing supervision or performance management
• Payroll, invoicing, or time tracking
• Legal or tax documentation support
• Contract negotiation with the assistant
• Employment classification guidance

Once the assistant is placed, you assume full legal and managerial responsibility for the relationship.

5. Client Responsibilities
You agree to:

• Provide clear and truthful information during the intake process
• Be responsive during the sourcing and selection period
• Manage your assistant directly following placement
• Handle all payment, communication, legal, and operational matters independently
• Use appropriate discretion when sharing access or sensitive information with your assistant

ZenAssistant is not liable for how you choose to engage, pay, or manage your assistant post-placement.

6. Rematch Policy
If the initially matched assistant is not a fit, you may request a rematch within 30 calendar days of the introduction. We may, at our discretion, initiate a second round of sourcing based on your feedback. Only one rematch is allowed per paid placement. Additional rematch requests require the purchase of a new placement service.

7. Confidentiality and Privacy
We treat all intake data and internal communications with discretion. However, ZenAssistant does not sign NDAs or confidentiality agreements for placement-only services. If confidentiality is essential, you are responsible for implementing your own agreements with your matched assistant.

We recommend using secure tools (e.g., password managers) and limiting sensitive data access to what is operationally necessary.

8. Limitation of Liability
ZenAssistant makes no guarantees about the performance, conduct, or outcomes resulting from your relationship with any assistant placed through our service. All placements are made on a best-effort basis.

By using this service, you agree that:

• ZenAssistant shall not be held liable for any damages (direct, indirect, incidental, or consequential) resulting from the actions, omissions, or performance of any matched assistant
• ZenAssistant’s total liability is strictly limited to the amount paid for the placement service
• ZenAssistant is not responsible for any business losses, reputational harm, legal disputes, or data breaches arising after placement

You assume full responsibility for your relationship with the assistant once placed.

9. Modifications and Termination
ZenAssistant reserves the right to update these Terms of Service at any time. Changes will be effective immediately upon posting to our website or delivery via email. It is your responsibility to review these terms regularly.

ZenAssistant may decline to offer placement services to any client at our sole discretion, including those who violate these terms, engage in abusive conduct, or misuse the placement service.

10. Governing Law
These Terms shall be governed by the laws of the State of Florida. Any disputes shall be resolved exclusively in the courts located in Lake County, Florida. The prevailing party in any legal dispute shall be entitled to recover reasonable attorney’s fees and associated costs.
